HALi User Agreement

Welcome to HALi. HALi is a consumer application from HALai, Inc. ("HALai," "we," "us," or "our"), a wholly-owned subsidiary of Artificial Healthcare Intelligence, Inc. ("AHI"), that gives you and your family access to healthcare information and AI-assisted guidance in everyday language. This HALi User Agreement ("Agreement") is a binding contract between you and HALai and governs your use of the HALi application, website, and related services (the "HALi Service"). Please read this Agreement carefully. It contains an arbitration provision and a class-action waiver in Section 14 that affect your legal rights. By creating an account or using the HALi Service, you agree to this Agreement and to our Privacy Policy. If you do not agree, do not use the HALi Service. 1. HALi Is Not Medical Care HALi is not a doctor, nurse, or other healthcare provider. HALi is a software service that provides general health information and AI-generated guidance to help you understand your health. HALi does not diagnose disease, prescribe medication, order tests, or make treatment decisions. Using HALi does not create a doctor-patient, nurse-patient, or any other professional relationship between you and HALai, AHI, or any HALai employee. Always consult a licensed healthcare provider for medical questions, before starting or changing any treatment or medication, and before acting on anything HALi tells you. If you have a medical condition, HALi is not a substitute for care. You are interacting with artificial intelligence, not a licensed clinician. HALi is an AI system. It is not a physician, nurse, therapist, counselor, pharmacist, or any other licensed health professional, and it will never represent itself as one. HALi does not hold any professional license or credential. No HALi response should be understood as coming from a licensed practitioner, and HALi will not use professional titles or credentials to describe itself. 2. Emergencies — Call 911 HALi is not for emergencies. If you are experiencing a medical emergency, call 911 (or your local emergency number) or go to the nearest emergency room immediately. Do not use HALi to seek help for chest pain, difficulty breathing, severe bleeding, stroke symptoms, thoughts of self-harm or suicide, or any other urgent or life-threatening condition. If you or someone you know is in crisis, in the United States you can also call or text 988 (Suicide & Crisis Lifeline). 3. AI Output — What You Should Know HALi uses large-language-model AI to answer questions and generate summaries. AI output can be wrong, incomplete, out of date, or misleading, even when it sounds confident. You should: - Treat HALi's answers as a starting point for a conversation with your provider, not a final answer. - Verify anything important before acting on it, especially medication names, doses, or dosing schedules. - Never stop, start, or change a medication or treatment based only on what HALi tells you. We continuously work to improve accuracy, but we make no promises about the correctness or completeness of any HALi output. 4. Eligibility You must be at least 18 years old to create a HALi account. If you are 13 or older but under 18, you may use HALi only with the involvement and permission of a parent or legal guardian, who agrees to this Agreement on your behalf. HALi is not intended for children under 13, and we do not knowingly collect personal information from children under 13. If we learn we have collected information from a child under 13, we will delete it. You are responsible for the accuracy of the information you enter into HALi, for the confidentiality of your credentials, and for all activity under your account. Notify us immediately at security@halai.ai if you believe your account has been compromised. 5. Your Health Information When you use HALi, you may enter or upload information about your health, your family's health, your medications, symptoms, lab results, and other personal details. You control what you enter. HALai treats this information in accordance with our Privacy Policy, applicable state consumer health data laws, and this Agreement. HIPAA note. When you enter health information into HALi as a consumer (rather than accessing HALi through a healthcare provider that has arranged HALi as part of your care), HALi is generally not acting as a HIPAA "business associate" and your consumer health information is governed by this Agreement and the Privacy Policy, not by HIPAA. Even so, we protect your consumer health information with HIPAA-grade safeguards and we do not sell it. Consumer health data. If you are a resident of a state with a consumer health data law (including Washington's My Health My Data Act, Nevada SB 370, Connecticut's amendments to the CTDPA, or comparable laws as enacted), you have specific rights over the health information you provide to HALi. Those rights, the categories of consumer health data we collect, who we share it with, and how long we keep it are described in our separate Consumer Health Data Privacy Policy at halai.ai/consumer-health-data. No sale, no advertising. We do not sell your health information, and we do not use your health information for targeted advertising. 6. Mental and Behavioral Health HALi does not provide therapy, counseling, or psychotherapy. HALi is not a mental health provider and does not deliver psychotherapy, behavioral health treatment, crisis counseling, or any service that requires a mental health license. HALi will not attempt to diagnose or treat a mental health condition. Some states, including Illinois, Nevada, and Utah, restrict or prohibit AI systems from delivering therapy or psychotherapy services to consumers. HALi is configured to decline these requests and to direct you to licensed human care instead. If you are struggling with your mental health, please contact a licensed professional. If you are in crisis or thinking about harming yourself, call or text 988 (Suicide & Crisis Lifeline) or call 911 immediately. 7. Security Incident Notification HALi is a personal health record service that is generally not covered by HIPAA. If your identifiable health information held in HALi is acquired, used, or disclosed without your authorization, we will notify you, and where required the Federal Trade Commission and the media, in accordance with the FTC Health Breach Notification Rule (16 CFR Part 318), without unreasonable delay and no later than 60 calendar days after we discover the incident. We do not use third-party advertising or behavioral-analytics trackers in the HALi application. 8. Sharing With Family or Providers HALi lets you share information with family members or healthcare providers you choose. When you share, you are solely responsible for the accuracy of what you share and for the decision to share. Anything you share becomes accessible to the recipient on their terms and may leave the HALi Service. You can revoke sharing prospectively at any time from your account. 9. Acceptable Use You will not: (a) use HALi in violation of any law; (b) impersonate another person or misrepresent whose information you are entering; (c) use HALi to harass, threaten, or harm anyone; (d) attempt to reverse engineer or circumvent HALi's security; (e) upload malicious code; (f) use HALi to give medical advice to others if you are not licensed to do so; (g) scrape or harvest HALi content for commercial use; (h) use HALi to train a competing AI model; (i) rely on HALi as the sole basis for any decision to start, stop, or change a medication, dose, treatment, or therapy without confirming with a licensed clinician; or (j) use HALi to make automated eligibility, coverage, hiring, insurance, or law-enforcement decisions about any person. 10. Fees HALi is currently offered at no charge for its core features. If we introduce paid features, we will tell you the price and get your affirmative consent before charging you. Free access may be limited, changed, or discontinued at any time. 11. Communications By creating an account you agree that we may contact you electronically about your account and the HALi Service. You may opt out of non-essential emails at any time using the unsubscribe link. If we send SMS messages, we will get your prior express consent and provide a "STOP" opt-out; message and data rates may apply. 12. Our Content; Your Content Our Content. HALi and its content, software, and design are the property of HALai and its licensors. We grant you a limited, personal, non-transferable license to use HALi for your own non-commercial purposes, subject to this Agreement. Your Content. You retain ownership of the personal and health information you submit ("Your Content"). You grant us a limited license to use Your Content only to provide the HALi Service to you and as described in the Privacy Policy. We do not use Your Content to train AI models that serve other users. Feedback. If you send us suggestions about HALi, you grant us the right to use that feedback without obligation. 13. Disclaimers and Limitation of Liability Disclaimers. HALI IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT HALI WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALAI, AHI, AND THEIR AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR HALI IN THE TWELVE MONTHS BEFORE THE EVENT AND (B) ONE HUNDRED U.S. DOLLARS (US $100). Some states do not allow these limitations. To the extent a limitation is not allowed where you live, it does not apply to you. Nothing in this Agreement limits liability for fraud, gross negligence, or any liability that cannot be limited by law. 14. Dispute Resolution — Arbitration and Class-Action Waiver Please read this section carefully. It changes how you resolve disputes with us. Informal resolution. Before starting an arbitration, contact us at legal@halai.ai with a written description of the dispute. We will try in good faith to resolve it within 60 days. Binding arbitration. You and HALai agree that any dispute arising out of or related to this Agreement or the HALi Service will be resolved by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules, subject to the JAMS Consumer Arbitration Minimum Standards, which control in the event of any conflict with this section. The Federal Arbitration Act governs this provision. Where arbitration happens. Arbitration will be conducted, at your election: (a) by telephone or video conference; (b) by written submissions only; or (c) in person in the county where you reside, or another location convenient to you that the parties agree on. We will not require you to travel to California. Arbitration costs. Consistent with the JAMS Consumer Arbitration Minimum Standards, if you are a consumer, your share of arbitration fees is limited to the filing fee you would pay in court (currently capped at $250 under those Standards), and HALai pays all remaining JAMS administrative and arbitrator fees. Class-action waiver. YOU AND HALAI EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. Exceptions. You or we may bring a qualifying claim in small-claims court, or seek injunctive relief in court for infringement of intellectual property. 30-day opt-out. You may opt out of this arbitration agreement by emailing legal@halai.ai within 30 days of first accepting this Agreement, stating your name, account email, and clear intent to opt out. Opting out does not affect any other part of this Agreement. Venue for non-arbitrable disputes. Any dispute not subject to arbitration may be brought in the courts of the county where you reside or in San Francisco County, California, at your election. Coordinated or Mass Arbitration. If 25 or more similar arbitration demands are filed against HALai by or with the assistance of the same law firm or coordinated group within a 60-day period, arbitrations will proceed in staged batches: the parties will select up to 25 cases to proceed first as bellwethers, and remaining cases will be held in abeyance pending the outcome of the bellwethers and a good-faith mediation. This is intended to allow for orderly resolution of similar claims. Severability of Dispute-Resolution Provisions. If the class-action waiver is found unenforceable as to any claim, that claim will be severed and brought in court, but the rest of this Section 14 will remain in force. If the entire arbitration provision is found unenforceable, disputes will be resolved in court under the venue provision above. 15. Termination You may stop using HALi at any time and delete your account from your account settings. We may suspend or terminate your access if we believe you have violated this Agreement, if required by law, or to protect the HALi Service or other users. On termination we will delete your account data in accordance with the Privacy Policy, subject to legal-hold or safety exceptions. 16. Changes to HALi or This Agreement We may add to, change, or remove features of HALi at any time. We may update this Agreement from time to time; if changes are material we will provide advance notice by email or in-product notice, and you can decline the change by ceasing to use HALi. 17. Governing Law and Miscellaneous This Agreement is governed by California law, excluding conflicts principles, and applicable federal law. If any provision is held unenforceable, the rest remains in force. Our failure to enforce a right is not a waiver. You may not assign this Agreement; we may assign it in connection with a merger, financing, or sale of assets. This Agreement is the entire agreement between us regarding HALi. 18.
