Organizational Structure

AHI's organizational structure, a strategic alliance between our nonprofit entity and a capped-profit division, has been meticulously crafted to support our mission: advancing research, development, and distribution initiatives in artificial intelligence for healthcare. Our efforts are dedicated to significantly enhancing physician's quality of life, elevating quality of healthcare and ensuring widespread accessibility, thereby fostering a higher quality of care on a global scale.

Our Company Structure

Since the beginning, we have believed in the transformative potential of leveraging powerful artificial intelligence to address a multitude of healthcare challenges. Starting with the issues physicians encounter in providing basic care and the inefficiencies inherent in outdated systems and processes, our breakthrough healthcare innovations have the potential to reshape the industry profoundly. These innovations promise tremendous benefits but also present risks that must be managed with utmost care. Given the increasing capabilities of both current and future systems, it is more crucial than ever for AHI and other healthcare organizations to share core principles, economic mechanisms, and governance models that align with our missions and operations. This collaborative approach ensures that advancements in healthcare are not only effective but also safe and equitable for all.

Overview

AHI Nonprofit was founded in early 2024 with the goal of advancing artificial intelligence in healthcare to benefit physicians and enhance the quality of care.

With existing technologies not solving the fundamental challenges physicians face daily, but given the success of other projects in the industry (e.g., DAX Copilot, DeepScribe, and others), we decided to pursue this project through private means bound by strong commitments to the physician. Believing that a 501(c)(3) organization would be the most effective means to steer the development of practical and beneficial artificial healthcare intelligence innovations, free from the constraints of profit incentives.

Anticipating that our endeavor would require significant capital, led us to establish both a nonprofit entity for donation commitments and a private equity fund for investments in our capped-profit division, HALai, Inc. The objective of AHI's nonprofit donations is to fund the organization's operations and its development efforts in artificial healthcare intelligence.

Relying solely on donations would not suffice to cover the escalating costs of computational power and engineers, essential for advancing our HALai framework development, thereby jeopardizing our mission. Consequently, we developed a structure that preserves our nonprofit's mission, while enabling us to raise the necessary capital to achieve our objectives."

  • The AHI Nonprofit will remain intact, with its board continuing to serve as the overarching governing body for all AHI activities
  • A for-profit subsidiary was established, capable of issuing equity to raise capital and attract world-class talent, while remaining under the direction of the Nonprofit.
  • The for-profit would be legally bound to pursue the Nonprofit’s mission and carry out that mission by engaging in research, development, commercialization, and other core operations. Throughout, AHI’s guiding principles of safety and broad benefit would be central to its approach.
  • The for-profit subsidiary will be legally bound to pursue the Nonprofit’s mission, engaging in research, development, commercialization, and other core operations to achieve this mission. Throughout, AHI’s guiding principles.
  • The Nonprofit will govern and oversee all activities through its board, in addition to managing its own operations. It will undertake a wide range of initiatives, including creating a scholarship program to support displaced healthcare workers who wish to pursue nursing or medical degrees.

In this structure, the Nonprofit remains pivotal in guiding the development of artificial healthcare intelligence innovations, while the for-profit subsidiary is tasked with marshaling the necessary resources to achieve these goals. The for-profit entity is legally obligated to pursue AHI’s core mission, as enshrined in its operating agreement, which binds every investor and employee to prioritize the mission above all else
